By accessing or using COBOL Graph ("the Software" or "the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Software.
2. License Grant
Subject to your purchase of a valid license and compliance with these terms, COBOL Graph grants you a non-exclusive, non-transferable license to use the Software according to your license tier:
- Professional: 1 device activation
- Enterprise: 5 device activations
- Site License: 100 device activations
3. License Restrictions
You may not:
- Copy, modify, or distribute the Software
- Reverse engineer, decompile, or disassemble the Software
- Rent, lease, or lend the Software to third parties
- Transfer your license to another party without our consent
- Use the Software to provide services to third parties
- Remove or alter any proprietary notices in the Software
4. Account Registration
To use certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
5. Payment and Refunds
License fees are charged at the time of purchase or renewal. All fees are non-refundable except as required by law or as expressly stated in these terms.
We offer a 14-day money-back guarantee for first-time purchases. To request a refund, contact support within 14 days of purchase.
6. Evaluation
We offer an online web demo for evaluation purposes. The web demo has limited features and is intended to preview the product before purchase.
7. Updates and Support
Your license includes access to software updates and email support for the duration of your subscription. Support response times vary by license tier.
8. Intellectual Property
The Software and all associated documentation, trademarks, and intellectual property are owned by COBOL Graph and are protected by copyright and other intellectual property laws.
You retain all rights to your COBOL source code and any analysis data generated by the Software.
9. Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated by reference into these Terms.
10. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of Liability
IN NO EVENT SHALL COBOL Graph BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF YOUR USE OF THE SOFTWARE.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM.
12. Term and Termination
This agreement continues until terminated. We may terminate your license immediately if you breach these terms. Upon termination, you must cease all use of the Software and destroy all copies.
13. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict of law principles.
14. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use of the Software after changes constitutes acceptance of the modified terms.
